
Terms of Service

These Terms of Service (“Terms”) govern your access to and use of websites operated under the The IT Guru trade name (including theit.guru), our client portal, and related online services (collectively, the “Services”). The IT Guru is operated by Bryce Fountain (“Provider,” “we,” “us”).
By accessing or using the Services, creating an account, accepting a proposal or contract, or making a purchase, you agree to these Terms and our Privacy Policy. If you are accepting on behalf of a company, you represent that you have authority to bind that company.
1. Services
We offer IT-related products and services that may include managed IT, web hosting, domains, email, cybersecurity, consulting, software or hardware procurement, training, and custom development. Specific deliverables, fees, and service levels are set out in proposals, statements of work, service agreements, or checkout / subscription plans (each an “Order”). If an Order conflicts with these Terms, the Order controls for that engagement.
2. Accounts and portal access
- You must provide accurate registration information and keep credentials confidential.
- You are responsible for activity under your account.
- We may suspend access for security, abuse, non-payment, or legal risk.
- Staff and client roles may have different permissions; do not share admin access.
3. Orders, fees, and payment
Fees are as stated in the applicable Order or at checkout. Recurring subscriptions renew according to the plan interval until cancelled as described in the Order or portal. Unless otherwise stated, fees are in U.S. dollars and exclusive of taxes.
Payments are processed by Stripe or other processors we designate. By providing a payment method, you authorize us (and our processor) to charge amounts due, including recurring fees, taxes, and agreed one-time charges. Failed payments may result in retries, late notices, and suspension of Services until the account is current.
4. Refunds and cancellations
One-time project fees are generally non-refundable once work has begun, except as required by law or as expressly stated in an Order. Recurring hosting or subscription fees are billed in advance; cancellation takes effect at the end of the then-current paid period unless an Order says otherwise. Prepaid periods are not prorated unless we agree in writing or law requires it.
To cancel a subscription, use the client portal where available or email info@theit.guru with reasonable notice as required by your Order (often 30 days).
5. Acceptable use
You agree not to:
- Use the Services for unlawful, harmful, or infringing content or activity
- Attempt unauthorized access to systems, data, or other customers’ environments
- Interfere with or disrupt the Services or related networks
- Resell or misuse portal credentials or API keys
- Upload malware or abuse email / messaging features
We may remove content or suspend Services that violate this section.
6. Client content and intellectual property
You retain ownership of content and materials you supply. You grant us a license to host, process, and display that content as needed to perform the Services. We retain our platforms, software, tooling, documentation, trademarks, and know-how. Except for deliverables expressly assigned in an Order, no IP transfer is implied. Feedback you provide may be used to improve our Services without obligation to you.
7. Third-party services
The Services may integrate with third parties (for example Stripe, DNS providers, email hosts, or cloud platforms). Those services are subject to their own terms. We are not responsible for third-party outages, policy changes, or data handling beyond our reasonable control.
8. Confidentiality
Each party will protect the other’s non-public business information and use it only to perform under these Terms or an Order, except for information that is public, independently developed, or required to be disclosed by law.
9. Disclaimers
EXCEPT AS EXPRESSLY STATED IN AN ORDER, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. These limits do not apply to liability that cannot be limited under applicable law, or to your payment obligations.
11. Indemnity
You will defend and indemnify us against claims arising from your content, your misuse of the Services, or your violation of these Terms or law, except to the extent caused by our willful misconduct.
12. Suspension and termination
Either party may terminate an Order as specified therein. We may suspend or terminate access immediately for non-payment, material breach, legal risk, or abuse. On termination, your right to use the Services stops; provisions that by nature should survive (including payment, IP, confidentiality, disclaimers, and liability limits) survive.
13. Governing law
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law rules, except where an Order specifies another governing law for that engagement. Courts in Cumberland County, North Carolina (or federal courts with jurisdiction) are the exclusive venue for disputes, unless an Order says otherwise. The parties will attempt good-faith resolution before filing a claim.
14. Changes
We may update these Terms by posting a revised version on this page. Material changes may also be communicated by email or portal notice. Continued use after the effective date constitutes acceptance, except where an Order requires signed amendments for that engagement.
